What could be the implications of Carlyle getting permission to acquire Airtel’s data centre business?

The proposed sale of stake in the call centre business by Bharti Airtel to Carlyle was stuck at the CCI approval stage. Finally, the Competition Commission of India has approved Carlyle’s proposed acquisition of 25% stake in the data centre business of Bharti Airtel.

The 25% deal has been valued at $235 million giving an overall valuation of $1 billion to the data centre business of Airtel. On completion of the deal, Carlyle will now hold a quarter of the data centre business with the balance 75% being held by Airtel.

The data centre of Bharti Airtel is structured as a separate company and it provides data co-location through 10 of its centres. The deal will be executed via Comfort Investments, a special purpose acquisition vehicle or SPV created by Carlyle Group for this transaction.
